Terms of Use — Marketing Leaders Fellowship Program

These Terms of Use ("Terms") govern your access to and use of https://themlfp.com, the MLFP application, the student portal, educational modules, assessments, live sessions, and related websites, content, features, and services (together, the "Services"). The Marketing Leaders Fellowship Program ("MLFP," "we," "us," or "our") is operated by CONFIRM: legal operating entity — must match the Privacy Policy. By accessing or using the Services, creating an account, submitting an application, or accepting these Terms through an online acceptance mechanism, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and Minor Participants

The Services are intended for high school and college students located in the United States. You must be at least 13 years old to use the Services; do not create an account or submit personal information if you are under 13. CONFIRM with legal: minimum age If you are under 18 or otherwise under the age of legal majority in your state, your parent or legal guardian must review and agree to these Terms on your behalf and consent to your participation where required. We may request additional information or consent from a parent or guardian when reasonably necessary to confirm eligibility or comply with applicable law. CONFIRM with legal/developer: the application flow needs an actual parent/guardian consent step for minors — do not paper over this with wording alone

2. The Program; Applications

MLFP is an eight-week experiential fellowship consisting of self-paced modules, a team-based project responding to a live client brief, and a live final presentation. Admission is selective and at our discretion; submitting an application does not guarantee acceptance. There is no application fee. You agree that information you provide in an application or account will be accurate and reasonably complete. We may reject an application, revoke admission, suspend participation, or terminate an account if information is materially false, misleading, or fraudulent, or for violation of these Terms.

Participation in a particular cohort may be subject to additional program rules, schedules, client requirements, releases, confidentiality agreements, or participation terms; where separate written terms apply to an activity, those terms control for that activity.

MLFP is not an accredited educational institution. The certificate of completion is a program credential; participation does not confer academic credit, a degree, or licensure, and does not guarantee college admission, employment, an internship, a scholarship, or any other academic or professional outcome.

3. Accounts and Account Security

Certain Services require an account. You are responsible for keeping your login credentials confidential and for activity occurring through your account. You may not share an account or allow another person to access restricted program materials using your credentials. Notify us promptly if you believe your account has been accessed without authorization. We may suspend or restrict an account when reasonably necessary to protect the Services, other participants, client information, or program integrity.

4. MLFP Content and Intellectual Property

The Services and MLFP materials — including course videos, presentations, curricula, assignments, assessments, text, graphics, logos, designs, and software ("MLFP Content") — are owned by or licensed to MLFP or other rights holders and are protected by intellectual property laws. "Marketing Leaders Fellowship Program," the MLFP logo, and related marks may not be used without our prior written permission. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to access MLFP Content solely for your individual participation in the program. Unless we expressly authorize it, you may not:

5. Your Work and Submissions

You may submit applications, essays, assignments, campaign concepts, presentations, portfolio links, feedback, and other materials through the Services ("User Content"). You represent that you have the right to submit your User Content and that doing so does not violate another person's intellectual property, privacy, confidentiality, or other rights.

Unless separate challenge or client terms state otherwise, you retain ownership of original User Content you create. CONFIRM with legal/client: student IP position — who owns CEO Challenge campaign work, and how are rights handled among teammates on joint work? By submitting User Content, you grant MLFP and its service providers, instructors, program administrators, judges, and participating challenge clients a non-exclusive, royalty-free license to host, reproduce, display, transmit, and use that User Content as reasonably necessary to administer the program, review applications, evaluate work, provide feedback, operate team activities, judge submissions, and issue recognition.

MLFP will not use a participant's User Content, name, or likeness in external advertising or promotional materials under this license alone; any such use requires separate authorization. CONFIRM with legal: a separate signed publicity/media release, with parent or guardian signature for minors, for the winners' showcase, photos, and similar uses

Participants may use their own work in personal portfolios only to the extent permitted by applicable client instructions, confidentiality restrictions, intellectual property rights, and any separate challenge terms. CONFIRM with client/legal: portfolio permissions — the public site promises "portfolio-ready work," so this needs a definitive answer

6. Client Challenge Materials and Confidentiality

MLFP may provide participants with briefs, presentations, business information, creative assets, or other materials belonging to a participating client. Materials identified as confidential, non-public, proprietary, or restricted may be used only for participating in the applicable MLFP activity, and you may not publish, distribute, disclose, or use restricted client information outside the program unless authorized in writing. CONFIRM with legal/client: whether the client brief contains confidential material and whether a separate NDA or confidentiality acknowledgment will be required

7. Program Conduct

You agree to participate honestly and respectfully. You may not:

Collaboration is permitted where an assignment or team activity calls for it. We may remove content, suspend participation, or remove a participant from the program when reasonably necessary to enforce these requirements or to protect the program and its participants.

8. Live Sessions and Third-Party Services

Certain program activities are conducted through third-party platforms, including Zoom for live sessions and the final presentation. Your use of third-party services is governed by those providers' own terms and privacy policies, and you (or your parent or guardian) may need to accept them to participate in certain activities. If MLFP records a live session — including audio, video, chat, Q&A, or transcripts — participants will receive appropriate notice and any consent required by applicable law. 9. Communications

We may send administrative and transactional communications relating to your application, account, schedule, assignments, security, or participation. Marketing communications, if any, will be handled separately with any required consent or opt-out. CONFIRM with client/legal: if telephone numbers will be used for text messaging, SMS disclosures and consent must be presented separately at the point of collection

10. Program Availability and Changes

We may update course content, schedules, instructors, challenge details, participating clients, technology, or other aspects of the Services, and may suspend or discontinue portions of the Services when reasonably necessary for security, maintenance, legal compliance, program administration, or circumstances outside our reasonable control. We will make reasonable efforts to communicate material program changes to enrolled participants.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND MLFP CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT CONTENT WILL ALWAYS BE ACCURATE OR CURRENT. Nothing in the Services constitutes a guarantee of admission, employment, academic placement, or any other particular result.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MLFP, ITS OPERATOR, AFFILIATES, OFFICERS, EMPLOYEES, INSTRUCTORS, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES, ARISING FROM OR RELATING TO THE SERVICES. TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED USD 100, EXCEPT WHERE APPLICABLE LAW DOES NOT PERMIT SUCH A LIMITATION. CONFIRM with legal: cap amount and whether adjustments are needed given that many users are minors

13. Indemnification

To the extent permitted by applicable law, you agree (or, if you are a minor, your parent or guardian agrees) to indemnify and hold harmless MLFP, its operator, and their affiliates from claims, damages, losses, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising from your material misuse of the Services, violation of these Terms, or violation of another person's rights. 14. Privacy and Cookies

Our collection and use of personal information is described in the MLFP Privacy Policy. The Services use strictly necessary cookies by default; optional cookies remain off unless you enable them, and you can manage your choices at any time through Cookie Settings.

15. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. CONFIRM with legal: governing law and venue once the operating entity and its home state are confirmed Subject to Section 16, state and federal courts located in Los Angeles County, California will have jurisdiction over disputes arising from these Terms or the Services, and you consent to their jurisdiction and venue.

16. Dispute Resolution

CONFIRM with legal: whether to keep, modify, or drop this section — arbitration and class-waiver provisions applied to minor participants face enforceability challenges; reference language below. Except for matters eligible for small-claims court and claims that cannot legally be arbitrated, disputes arising out of or relating to the Services or these Terms will be resolved through final and binding arbitration on an individual basis, administered by the American Arbitration Association under its applicable rules. You and MLFP agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action, to the extent permitted by law. You may opt out of this arbitration provision by written notice to the contact in Section 19 within 30 days after first accepting these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this section where applicable.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and provide additional notice when appropriate. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law; if additional consent is legally required, we will request it.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable program-specific agreements, constitute the entire agreement governing your use of the Services. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
